Merry Reels Terms of Service
Important Notice Before Using This Service
Welcome to Merry Reels. This User Terms of Service (hereinafter referred to as this “Agreement”) defines the respective rights, obligations and potential liabilities between you and the operator of Merry Reels in connection with your use of the products and related services.
Please read this Agreement carefully before you start using the service, paying special attention to provisions concerning payment rules, account management, service interruption, breach remedies and limitation of liability.
By accessing, downloading or using Merry Reels products and services, you acknowledge that you have read, understood and agree to be bound by this Agreement. If you cannot accept any part of it, please stop using the services provided by Merry Reels.
Users under the age of 18 or without full capacity for civil conduct shall review this Agreement under the accompaniment and guidance of their legal guardians and pay attention to the special provisions for minor users. You shall bear any adverse consequences arising from registration or use of the service that fails to meet the above requirements. Merry Reels shall not be liable for such consequences and reserves the right to terminate your access to the service.
1. Service Relationship and Basic Conditions of Use
1.1 Parties Bound by the Agreement
This Agreement applies to all products, features and related services provided by Merry Reels and is binding on users who use these services.
In this Agreement, “Merry Reels”, “the Platform” or “we” means the legal entity responsible for operating Merry Reels under applicable law; “user” or “you” means the natural person using Merry Reels products or services.
1.2 Scope of Service Use
Unless there is a separate written agreement between you and Merry Reels, the Platform services are for your personal, non-commercial use only.
You may only use the relevant products and features through channels provided or authorized by the Platform. The access rights and licenses granted to you under this Agreement may not be assigned to others without permission.
Without the approval of Merry Reels, you may not use external plugins, extensions, third-party software or other tools to interfere with the normal operation of the Platform, nor damage, modify or disrupt the integrity or availability of the service.
1.3 Usage Environment and Related Costs
You shall independently prepare the equipment required to use Merry Reels, including mobile phones, computers or other terminals that support relevant functions.
Network access fees, mobile data charges and other communication costs incurred while accessing the service shall be borne by you.
You also understand that running the Platform software and accessing online services may consume terminal hardware resources, network bandwidth and other device resources.
2. Account Use, Login Security and Software License
2.1 Access and Login Methods
You may use Merry Reels services in guest mode.
However, to reduce the risk of account loss, we recommend that you use Google Sign-In or other officially recognized login channels supported by Merry Reels.
2.2 Account Security Responsibilities
You shall keep your account information, login passwords and other verification credentials secure and shall not provide them to unauthorized persons.
You should log out promptly after each use to prevent others from accessing your account via your device.
If your account is accessed by others due to poor safeguarding, negligence or other reasons attributable to you, you shall be responsible for the consequences.
Merry Reels shall not be liable for account security incidents, unauthorized disclosure of personal privacy and resulting losses that are not caused by Merry Reels’ fault.
2.3 Software License
Certain Merry Reels services may require you to download and install the application software.
To allow you to access the Platform normally, we grant you a personal, non-exclusive, non-transferable license to use the software. This license applies solely to accessing and using Merry Reels products and services.
You may not use this license for purposes outside the scope permitted by this Agreement.
2.4 Software Maintenance and Version Upgrades
To maintain proper functionality, enhance security and improve service experience, we may release software updates from time to time.
You are advised to upgrade Merry Reels to the latest version in a timely manner. We do not guarantee that all features will continue to work properly if you use an outdated version.
3. Personal Information and Disclosure Rules
3.1 Information Protection Principles
Merry Reels regards the security of users’ personal information as an important part of Platform operation.
When you access the service via third-party login channels, we will adopt reasonable and feasible information security technologies and management mechanisms to prevent unauthorized access, use or disclosure of your personal data as far as practicable.
3.2 User Control over Information
You may view, update or modify the personal information you actively submit to Merry Reels at any time as needed.
3.3 General Restrictions on External Disclosure
Unless you consent, Merry Reels will generally not provide your personal information to organizations, enterprises or individuals outside the Platform, except as otherwise required by applicable laws and regulations.
We also attach importance to the confidentiality of user registration information and non-public content stored on the Platform and will not disclose such information externally without valid reason.
3.4 Permitted Circumstances for Disclosure
Merry Reels may provide necessary information in accordance with relevant requirements in the following situations:
- You have given clear prior authorization;
- Disclosure is mandatory under applicable laws and regulations;
- A government agency or judicial authority issues a lawful order;
- Disclosure is necessary to safeguard the public interest;
- Disclosure is necessary to protect the legitimate rights and interests of Merry Reels.
4. Ownership of Platform Content and Restrictions on Use
4.1 Ownership of Platform Marks and Content
Trade names, icons, logos and other commercial marks displayed or used in Merry Reels services are owned by Merry Reels and protected by trademark, copyright and applicable laws.
Copyrights, trademark rights, trade secrets and other intellectual property rights in texts, materials, software, images, audio, videos, graphics and other content provided by the Platform belong to Merry Reels or the respective licensors and rights holders.
These legitimate interests are protected by intellectual property laws of relevant countries and regions.
4.2 Prohibited Activities
Unless you obtain prior written authorization from Merry Reels or the relevant rights holder, you may not modify, copy, distribute, transmit, publicly display, perform, republish, sublicense or transfer the Platform content.
You may also not create derivative works based on such content or use it beyond the scope of the license without authorization.
4.3 Consequences of Infringing Platform Rights
Any breach of the above requirements constitutes a material breach of this Agreement.
Merry Reels may immediately stop providing services to you, require you to destroy the materials or content you have obtained, and reserve the right to pursue further remedies through legal channels.
5. Liability for User-Submitted Content and Code of Conduct
5.1 Legality of User Content
If you send, transmit or submit texts, web pages, images, audio, videos, graphics or other content through Merry Reels, you must ensure that such content is lawfully sourced.
You are responsible for the content you provide and warrant that you lawfully own it or have obtained full authorization from the rights holder.
To perform this Agreement or deliver the corresponding service functions, you agree that Merry Reels may use the content you submit or transmit to the extent reasonably necessary.
5.2 Prohibited Activities
While using the Platform, you shall comply with applicable laws and regulations and must not use Merry Reels to engage in the following activities:
- Creating, publishing, disseminating or storing content that endangers national security, undermines social stability, violates public order, as well as defamatory, obscene, violent or other unlawful information;
- Publishing or disseminating materials that infringe others’ copyrights, trade secrets or other legitimate rights and interests;
- Misleading or defrauding others by fabricating facts or deliberately concealing the truth;
- Sending spam, unsolicited marketing messages or other harassing content;
- Engaging in other activities expressly prohibited by laws and regulations.
In addition, you shall respect local laws, social norms and customs of your region.
You must not use the Platform to participate in political or public activities that would involve Merry Reels.
5.3 Content Complaints and Handling
If the Platform receives a complaint from a rights holder alleging that user content infringes legitimate rights, Merry Reels may take measures such as deleting, blocking or removing access links to the relevant content at its discretion.
If we discover on our own or receive reports that user content allegedly violates this Agreement, we may also impose sanctions according to the nature of the conduct.
Such measures include removing relevant content, restricting feature access, freezing the account, suspending the service or terminating your access.
For serious violations, Merry Reels may take further action in accordance with the law, including pursuing liability through legal proceedings.
6. Commercial Messages, Advertisements and External Services
6.1 Advertisement Display
While you use Merry Reels, the Platform may display advertisements itself or allow authorized ad service providers to show commercial promotions and other marketing content.
Merry Reels may adjust ad delivery channels, display formats and coverage according to business needs without prior notice.
6.2 Ad Authenticity and Associated Risks
We will perform our advertising-related obligations in accordance with the law.
However, you must independently judge the authenticity and reliability of ad information and whether the advertised goods or services meet your needs.
If you make purchasing decisions or complete transactions with other parties based on ad content, you shall bear the resulting risks. Unless applicable law expressly provides otherwise, Merry Reels shall not be liable for losses arising from ad content or related transactions.
6.3 Relationship Between Purchased Paid Features and Advertisements
Purchasing a service or paid feature of Merry Reels does not entitle you to an ad-free experience.
Advertising forms part of the commercial arrangement for the Platform to provide integrated services to users. By accepting this Agreement, you acknowledge and agree to this rule.
6.4 Third-Party Services
When you use products or functions of other service providers through Merry Reels, you must comply not only with this Agreement but also with the terms of service set by such third parties.
For rights, obligations and disputes involving third-party services, Merry Reels and the relevant third party shall each bear their respective liabilities in accordance with applicable law and contractual arrangements.
7. Service Fees, Price Adjustments and Paid Content
7.1 Free and Paid Items
Merry Reels may provide free services and may also set paid items for specific content or features.
Such fees are value-added internet service fees.
If a service is chargeable, you shall comply with the special rules stated on the corresponding service page. If you are unwilling to pay the required fee, you will not be able to access the paid item.
7.2 Payment Methods and Pricing Standards
Different services may adopt different prices, charging methods or billing rules.
Even for the same service, its charging rules may change depending on the service phase or operational arrangements.
Merry Reels reserves the right to set and adjust charging standards and may start charging for some previously free services as needed.
We will notify users in advance before implementing such adjustments. New charging rules take effect upon publication and form part of this Agreement.
Your continued use of the service after the updated rules take effect constitutes acceptance of the price adjustment.
7.3 Refunds for Consumed Funds and Unused Balances
Funds that have already been consumed are non-refundable.
If you wish to request a refund of unused account balance, you may submit a refund application to Merry Reels.
Once the application is approved, the funds will be refunded in legal tender through the original payment channel, subject to a handling fee equal to 10% of the refund amount.
If the original payment channel is unavailable, we may negotiate an alternative refund method with you.
7.4 Viewing Period for Paid Videos
Merry Reels offers paid subscription viewing services.
For on-demand individual video content, the subscription is valid for one month from the date of payment.
The Platform only guarantees normal access to the purchased content during the subscription period.
Merry Reels shall not be liable if you are unable to continue accessing or viewing the content after the subscription expires.
8. Virtual Currency, Top-Up and Order Processing
8.1 Purpose of Virtual Currency
Content on the Merry Reels Platform is purchased using virtual currency.
Different content may require different types of virtual currency, and you must complete purchases in accordance with the virtual currency rules applicable to that content.
8.2 Restrictions on User-to-User Trading
Peer-to-peer exchange or trading of virtual currency between users is prohibited on the Platform.
Any act in breach of this rule constitutes a breach of contract. Merry Reels may take measures to block or terminate such transactions without prior notice.
8.3 Confirmation of Top-Up Orders
Before submitting a top-up order, you shall carefully check the target account, order details, pricing plan and other necessary information.
Once a top-up order is submitted, it cannot be cancelled or modified.
Merry Reels shall not be liable for losses caused by user operational errors, wrong account selection, incorrect package selection or misunderstanding of Platform charging rules.
8.4 Payments via Third Parties
If you choose an external payment platform to complete top-ups or transactions, you shall comply with the terms and rules of that payment service provider.
You are responsible for protecting personal and financial information involved in payment, such as bank accounts, passwords and verification credentials.
Disputes arising from the services of third-party payment channels are outside Merry Reels’ scope of liability.
8.5 Discrepancies in Top-Up Amounts
If a Platform system malfunction causes a discrepancy between the amount you actually paid and the amount received by Merry Reels, we will correct the discrepancy once the relevant data can be restored and you provide valid, lawful evidence.
If the amount received by the Platform is less than the amount you paid, Merry Reels will supplement the difference.
If the amount received by the Platform exceeds the amount you paid, Merry Reels reserves the right to recover the excess portion.
8.6 Content Subscription Orders and Refund Restrictions
Once a content subscription order is submitted, you may not request changes to the order.
Unless Merry Reels gives prior written consent, fees paid for content subscriptions are non-refundable.
This no-refund rule remains in effect even if the service is subsequently suspended, terminated, or the subscribed content is removed from the Platform.
If your account is cancelled or frozen for violating this Agreement, you are not entitled to claim compensation from Merry Reels.
9. Service Interruption, Network Risks and Disclaimer
9.1 Conditions of Service Delivery
Merry Reels provides features to you on an “as-is” and “as-available” basis, subject to current technical capabilities and operational conditions.
We will adopt reasonable commercial measures to maintain service operation but do not warrant that the Platform will be free of failures or interruptions at all times and under all conditions.
Network conditions, system issues, defects in third-party services, operational actions and other uncontrollable factors may affect service stability.
9.2 Effects of Force Majeure
Force majeure means objective circumstances that are not reasonably foreseeable, unavoidable and insurmountable, such as natural disasters, war, government action, etc.
Such events may render Merry Reels services temporarily inaccessible, abnormal or interrupted.
If such circumstances occur, we will take reasonable measures to restore the service. To the fullest extent permitted by applicable law, Merry Reels shall not be liable for damages caused by force majeure.
9.3 Technical Failures and User Operation Risks
To the extent permitted by law, Merry Reels shall not be liable for service anomalies or interruptions caused by:
- Computer viruses, trojans and other malicious software;
- Hacking attacks or similar cybersecurity incidents;
- Malfunctions of software, hardware, systems or communication lines;
- Improper user operations;
- Unauthorized use of the service;
- Other events beyond the Platform’s reasonable control.
9.4 Online Content and Conduct of Other Users
Some information on the internet may be untrue, inaccurate, unlawful or unsuitable.
Merry Reels does not warrant the truthfulness, suitability or legality of online information and shall not be liable for losses arising therefrom.
For example, other users may post threatening, defamatory, offensive or unlawful information, or cause financial or other harm to others through misrepresentation or fraud.
You shall judge the reliability of information reasonably and protect your own safety.
9.5 Restriction on High-Risk Use Cases
Merry Reels products and services are not specially designed for nuclear facilities, military applications, medical facilities, transportation or other similar high-risk scenarios.
If the service is used in these fields and system or service failures result in personal injury, property loss or environmental damage, Merry Reels shall not be liable.
9.6 Boundaries of Content Moderation
Merry Reels has the right to take enforcement action against unlawful or violating content in accordance with this Agreement.
However, this enforcement right does not impose an obligation on us to actively inspect every piece of user content, nor does it guarantee that all violations will be detected and handled promptly.
9.7 Fraud and Property Risk Prevention
When using online services, please stay alert to suspicious messages involving loans, password requests, fund transfers and asset transactions.
Before completing relevant transactions or providing sensitive information, verify the identity of the counterparty and follow anti-fraud notices released by Merry Reels to reduce the risk of loss.
10. Consequences of Breach, Indemnification and Service Restrictions
10.1 Finding of Breach
Any violation by you of provisions in this Agreement concerning lawful use, conduct restrictions, intellectual property and other relevant terms may constitute material breach.
10.2 Remedies Available to the Platform
Depending on the severity and impact of the violation, Merry Reels may restrict, suspend or terminate your access to part or all of the Platform services.
The Platform may also freeze or terminate violating accounts.
For material breach, Merry Reels may retain fees already paid by you as agreed liquidated damages.
If the actual losses suffered by the Platform exceed the retained amount, we reserve the right to claim the excess from you.
10.3 Liability for Losses to Third Parties
If your violation causes harm to other individuals, enterprises or organizations, you shall be liable for compensation in accordance with the law.
If Merry Reels suffers losses due to your conduct, you shall indemnify the Platform. Such losses include but are not limited to attorney fees, litigation costs and other losses arising from the breach.
10.4 Legal and Regulatory Consequences
Users who violate applicable laws and regulations shall bear the corresponding legal consequences.
If competent authorities conduct investigations, impose penalties or take other measures against violations, Merry Reels may provide assistance as required.
If you violate local law or use the Platform to participate in political or public activities that involve Merry Reels, we may suspend the service and retain the fees already paid in accordance with this Agreement.
10.5 Action Without Prior Notice
In addition to the above violation scenarios, Merry Reels may directly restrict or terminate your service access without prior notice in the following circumstances:
- Personal information required by law is false, inconsistent or incomplete;
- You violate applicable laws and regulations or this Agreement;
- A government or judicial authority issues a lawful order;
- Restrictions are necessary for Platform security maintenance or other operational reasons.
11. Notice for Minor Users
11.1 Usage Requirements
Users under the age of 18 shall read this Agreement and use Merry Reels services under the supervision and guidance of their parents or other legal guardians.
We attach importance to the protection of minors’ personal information. Except for the disclosure scenarios set out in Chapter 3 of this Agreement, we will not voluntarily disclose minor users’ registration information or provide non-public content stored on the Platform to third parties.
11.2 Cybersecurity Notes for Minors
When minors use Merry Reels and other internet services, they should:
- Recognize the difference between the online environment and real life, control screen time reasonably and avoid internet addiction;
- Keep account and personal information secure;
- Use the internet safely and rationally under guardian guidance;
- Stay away from illegal activities and other risky online contacts or activities.
11.3 Responsibilities of Guardians and Schools
Parents, other legal guardians and schools should pay attention to minors’ internet use and provide appropriate safety guidance.
If a guardian considers that a minor, especially a child under 10 years old, may use Merry Reels services, the guardian may register an account in their own name and decide whether the service is suitable for the minor.
12. Validity of Agreement, Dispute Resolution and Contact
12.1 Agreement Updates
Merry Reels may revise this Agreement from time to time according to product operation and service needs.
Revised terms will be published on relevant service pages, where you may review the latest version.
Your continued use of Merry Reels after the new terms take effect means you agree to the updated Agreement.
If you do not accept the revisions, you must stop using the Platform software and services.
12.2 Adjustment or Termination of Service
Merry Reels may adjust service content, or temporarily interrupt, suspend or permanently terminate part or all services.
Service restrictions or terminations related to violations, security and other necessary circumstances will be handled in accordance with the provisions of this Agreement.
12.3 Governing Law
The formation, performance, interpretation and legal effect of this Agreement are governed by the law of the agreed jurisdiction, excluding its conflict of law rules.
12.4 Dispute Resolution
If a dispute arises between you and Merry Reels out of or in connection with this Agreement, the parties shall first seek resolution through friendly negotiation.
If negotiation fails, both parties agree to submit the dispute to arbitration in the agreed jurisdiction in accordance with the rules of the agreed arbitral institution.
12.5 Severability
Section headings in this Agreement are for ease of reference only and shall not affect the interpretation of individual clauses.
If any clause is found invalid or unenforceable, the remaining clauses shall remain in full force and continue to bind both parties.

We will respond to your enquiries in a timely manner.
